CONSTITUTION AND BYLAWS
OF WORLD FEDERATION OF POWER LEADERS (WFPL)

 

 

 

CHAPTER 1. GENERAL PROVISIONS

 

Article 1. Name

 

1. The name of this organization shall be the World Federation of Power Leaders, hereinafter referred to as the “WFPL.”

2. The Korean name of the organization shall be 세계청년리더총연맹, and its Korean abbreviated name shall be 세계총연맹.

3. The English abbreviated name of the organization shall be WFPL.

4. WFPL may use official names, abbreviations, insignia, logos, corporate identity (CI), emblems, flags, badges, and other identifying marks as necessary.

 

Article 2. Nature     

         

1. WFPL is an international non-profit organization that maintains political and religious neutrality.

2. WFPL shall not be affiliated with or biased toward any political party, political group, religion, or ideology.

3. WFPL shall operate based on the principles of public interest, independence, professionalism, fairness, and transparency.

4. WFPL shall function as an independent international federation regardless of its legal incorporation status.

5. WFPL may cooperate with governments, international organizations, public institutions, corporations, universities, research institutes, media organizations, and civil society organizations worldwide.

 

Article 3. Background of Establishment

 

1. WFPL originated from the International Youth Research Institute (formerly the International Youth Research Center), established on January 11, 2007.

2. WFPL was founded to contribute to national and social development through leadership development, policy research, media advancement, public service, evaluation and certification programs, and international cooperation.

3. WFPL shall continue to promote sustainable social development and public values through international collaboration and global leadership initiatives.

 

Article 4. Headquarters

 

1. The Central Headquarters of WFPL shall be located in the Republic of Korea.

2. WFPL may establish national headquarters, regional headquarters, provincial federations, branches, local chapters, representative offices, and special representative offices in Korea and abroad.

3. The establishment, merger, modification, and dissolution of such organizations shall be determined by the President.

 

Article 5. Political Neutrality

 

1. WFPL shall maintain political neutrality.

2. WFPL shall not directly participate in election campaigns for any political party or candidate.

3. WFPL may conduct policy research, forums, seminars, public discussions, evaluations, and public-interest activities.

4. WFPL may provide policy recommendations for national development and social integration.

 

Article 6. Purpose

 

1. WFPL aims to contribute to social and national development by working together with youth leaders, professionals, journalists, entrepreneurs, educators, and members of civil society from Korea and around the world to address various crises arising from structural contradictions in society.

2. WFPL seeks to promote a society where participation, communication, inclusion, and mutual respect are encouraged, ensuring that socially disadvantaged groups are not marginalized.

 

3. WFPL pursues the following objectives:

(1) Development of global leadership and future leaders

(2) Promotion of international exchange and cooperation

(3) Advancement of democracy and civil society

(4) Promotion of public safety and disaster preparedness

(5) Prevention of school violence, youth crime, gambling, and addiction

(6) Educational advancement and restoration of educational authority

(7) Social integration and protection of vulnerable groups

(8) Promotion of human rights and gender equality

(9) Employment stability and job creation

(10) Advancement of artificial intelligence, big data, and digital transformation

(11) Promotion of ESG values and sustainable development

(12) Expansion of responsible management in public institutions and enterprises

(13) Environmental protection and environmental health

(14) Peaceful reunification and restoration of national identity

(15) World peace and shared prosperity

(16) Other activities necessary to fulfill the objectives of WFPL

 

Article 7. Activities

 

1. To achieve its objectives, WFPL may carry out the following activities:

(1) Global leadership development programs

(2) Youth and next-generation leader development programs

(3) International conferences, forums, seminars, and symposiums

(4) International exchange and cooperation programs

(5) Public safety and disaster management programs

(6) School violence prevention and youth protection programs

(7) Youth gambling and addiction prevention programs

(8) Community development and social integration programs

(9) Human rights and gender equality promotion programs

(10) Environmental protection and environmental health programs

(11) AI, big data, and digital transformation research

(12) ESG research, evaluation, and certification programs

(13) Evaluation of public institutions, state-owned enterprises, local public enterprises, and corporations

(14) Policy research and legislative evaluation programs

(15) Research, publication, and information dissemination programs

(16) Education, training, and certification programs

(17) Awards, recognitions, and accreditation programs

(18) International volunteer and humanitarian activities

(19) Other activities necessary to achieve the objectives of WFPL

 

Article 8. Affiliated Institutions and Special Organizations

 

1. WFPL may establish and operate affiliated institutions, special organizations, coalition organizations, and cooperative organizations to achieve its objectives.

 

2. Such institutions may include:

(1) Research institutes

(2) Media organizations

(3) Evaluation institutions

(4) Educational institutions

(5) Associations

(6) Committees

(7) Research centers

(8) Academies

(9) Specialized organizations

(10) Other professional bodies

 

3. Affiliated institutions may operate as non-profit organizations, unincorporated associations, or separately incorporated legal entities.

4. The establishment, merger, modification, and dissolution of affiliated institutions and special organizations shall be determined by the President.

5. The heads of affiliated institutions and special organizations shall be appointed or commissioned by the President.

 

 

 

CHAPTER 2. MEMBERSHIP

 

Article 9. Membership Structure

 

1. Membership of WFPL shall consist of individual members and organizational members.

2. Members shall be persons or organizations that agree with the purposes and principles of WFPL and comply with its Constitution and Bylaws.

3. Membership may be granted to individuals, institutions, organizations, corporations, and other entities from Korea and abroad.

 

Article 10. Classification of Membership

 

1. Membership shall be classified as follows:

(1) Regular Members

(2) Organizational Members

(3) Special Members

(4) Honorary Members

(5) Supporting Members

(6) Youth Members

(7) Overseas Members

 

2. Regular Members shall be individuals who support the purposes and principles of WFPL and have completed the prescribed membership procedures.

3. Organizational Members shall be institutions, organizations, corporations, or other entities that support the purposes and principles of WFPL.

4. Special Members shall be distinguished individuals capable of contributing to the development of WFPL.

5. Honorary Members shall be persons who have rendered outstanding service to WFPL.

6. Supporting Members shall be individuals or organizations that provide financial or other support for the activities of WFPL.

7. Youth Members shall consist of youth and university students.

8. Overseas Members shall be members residing or carrying out activities outside the Republic of Korea.

 

Article 11. Qualifications for Membership

 

1. Membership shall be open to all persons regardless of gender, nationality, religion, occupation, or social status.

2. Members shall support the purposes and founding principles of WFPL.

3. Members shall uphold the dignity, reputation, and values of WFPL.

 

4. Membership may be restricted for persons who:

(1) Engage in activities contrary to the objectives and principles of WFPL;

(2) Have caused serious social controversy that may damage the reputation of WFPL;

(3) Are otherwise deemed unsuitable by the President.

 

Article 12. Admission

 

1. Any person or organization seeking membership shall submit the prescribed application form.

2. Admission of members shall be subject to approval by the President.

3. The President may delegate the membership review process to the Secretary General or an appropriate department.

4. Detailed procedures regarding membership admission shall be prescribed separately.

 

Article 13. Rights of Members

 

1. Members shall have the right to participate in programs, projects, and events organized by WFPL.

2. Members shall have access to information, publications, and resources provided by WFPL.

3. Regular Members shall have the right to attend and speak at the General Assembly.

4. Regular Members may exercise voting rights, electoral rights, and eligibility for office as provided by these Bylaws and related regulations.

5. Members may submit proposals and recommendations for the development of WFPL.

6. Members may participate in educational, research, evaluation, certification, and award programs organized by WFPL.

 

Article 14. Duties of Members

 

1. Members shall comply with the Constitution, Bylaws, and all regulations of WFPL.

2. Members shall actively support the objectives and activities of WFPL.

3. Members shall maintain the dignity and reputation of WFPL.

4. Members shall pay membership fees and other assessments as prescribed.

5. Members shall respect and comply with resolutions and decisions duly adopted by WFPL.

 

Article 15. Membership Fees

 

1. WFPL may require members to pay membership fees.

 

2. Membership fees may include:

(1) Admission Fees

(2) Annual Membership Fees

(3) Special Membership Contributions

(4) Supporting Membership Contributions

 

3. The amount and method of payment shall be prescribed separately.

4. Honorary Members and Special Members may be exempted from membership fees.

 

Article 16. Withdrawal

 

1. Members may voluntarily withdraw from WFPL at any time.

2. A member wishing to withdraw shall notify the Secretariat of such intention.

3. Membership fees, donations, sponsorships, or contributions already paid shall not be refundable.

 

Article 17. Loss of Membership  

  

1. Membership shall be terminated upon:

(1) Voluntary withdrawal;

(2) Death of an individual member;

(3) Dissolution or termination of an organizational member;

(4) Expulsion.

 

2. Membership may also be terminated by decision of the President when a member:

(1) Seriously violates the Constitution, Bylaws, or regulations of WFPL;

(2) Causes substantial damage to the reputation of WFPL;

(3) Obstructs the activities or operations of WFPL;

(4) Is otherwise deemed inappropriate to remain a member.

 

Article 18. Awards and Recognition

 

1. WFPL may confer awards and recognitions upon members who have contributed to the development of WFPL and society.

 

2. Awards may include:

(1) Merit Awards

(2) Certificates of Appreciation

(3) Commendations

(4) Achievement Awards

(5) Special Awards

(6) Other forms of recognition

 

3. Detailed procedures regarding awards and recognitions shall be prescribed separately.

 

Article 19. Disciplinary Actions

 

1. A member may be subject to disciplinary action if he, she, or it:

(1) Violates the Constitution, Bylaws, or regulations of WFPL;

(2) Damages the reputation or dignity of WFPL;

(3) Obstructs the activities of WFPL;

(4) Engages in conduct unbecoming of a member;

(5) Commits any other act deemed seriously inappropriate.

 

2. Disciplinary measures may include:

(1) Warning

(2) Suspension of Membership

(3) Removal from Position

(4) Expulsion

 

3. Disciplinary actions shall be determined by the President.

4. The member concerned may be given an opportunity to present an explanation before disciplinary action is taken.

5. Detailed disciplinary procedures shall be prescribed separately.

 

 

 

 

CHAPTER 3. OFFICERS

 

Article 20. Composition of Officers

 

1. WFPL shall have the following officers:

(1) One (1) President

(2) Up to five (5) Senior Vice Presidents

(3) Up to twenty (20) Vice Presidents

(4) Not fewer than three (3) and not more than three hundred (300) Directors, including the President

(5) Up to two (2) Auditors

(6) One (1) Secretary General

(7) Up to three (3) Executive Directors

 

2. WFPL may appoint the following positions as necessary:

(1) Advisors

(2) Honorary Advisors

(3) Advisory Members

(4) Professional Members

(5) Operating Members

(6) Ambassadors

(7) Other positions deemed necessary by the President

 

3. The positions specified in Paragraph 2 shall not be considered statutory officers of WFPL.

 

Article 21. President

 

1. The President shall be the highest representative and chief executive officer of WFPL and shall supervise all affairs of the Federation.

 

2. The President shall have the following powers and responsibilities:

(1) Representing WFPL in all matters

(2) Exercising final decision-making authority regarding organizational operations

(3) Determining major policies and strategic directions

(4) Appointing and dismissing officers

(5) Establishing, integrating, modifying, or dissolving affiliated institutions and special organizations

(6) Approving the establishment of national headquarters, regional headquarters, provincial federations, branches, and chapters

(7) Establishing committees and special bodies

(8) Granting awards and recognitions

(9) Exercising disciplinary authority

(10) Exercising all other powers necessary for the operation of WFPL

 

3. The President may appoint or commission:

(1) Senior Vice Presidents

(2) Vice Presidents

(3) Directors

(4) Auditors

(5) Secretary General

(6) Executive Directors

(7) Heads of affiliated institutions

(8) Heads of special organizations

(9) National Directors

(10) Provincial Federation Presidents

(11) Other principal officers

 

4. The term of office of the President shall not be limited.

5. The President shall be responsible for preserving and advancing the founding philosophy, vision, and identity of WFPL.

6. Lee San-Ha (李山河), Founder of WFPL, shall serve as President and shall continue to uphold and preserve the founding spirit and institutional identity of the Federation.

 

Article 22. Senior Vice Presidents

 

1. Senior Vice Presidents shall assist the President in carrying out his or her duties.

2. Senior Vice Presidents shall perform duties assigned by the President.

3. In the event that the President is unable to perform his or her duties, a Senior Vice President shall act on behalf of the President.

4. Where more than one Senior Vice President exists, the order of succession shall be determined by the President.

 

Article 23. Vice Presidents

 

1. Vice Presidents shall assist the President and Senior Vice Presidents.

2. Vice Presidents shall perform duties delegated by the President.

3. Vice Presidents shall support major projects and external cooperation activities of WFPL.

4. Vice Presidents may participate in policy development and organizational activities of WFPL.

 

Article 24. Directors

 

1. Directors shall constitute the Board of Directors.

2. Directors shall deliberate and vote on major policies and operational matters of WFPL.

3. Directors shall actively participate in the development and activities of WFPL.

4. Directors shall support the President and contribute to enhancing the reputation and influence of WFPL.

 

Article 25. Auditors

 

1. Auditors shall examine the financial affairs, assets, accounting records, and overall operations of WFPL.

2. Auditors may request submission of relevant documents and records whenever necessary.

3. Auditors shall report audit findings to the President and the Board of Directors.

4. Auditors may recommend corrective measures where improvements are required.

 

Article 26. Secretary General

 

1. The Secretary General shall direct and supervise the administrative and operational affairs of WFPL under the authority of the President.

2. The Secretary General shall manage the Secretariat and coordinate organizational operations.

3. The Secretary General shall oversee project implementation, organizational administration, and external cooperation activities.

4. The Secretary General shall report regularly to the President.

5. The Secretary General shall be appointed or commissioned by the President.

 

Article 27. Executive Directors

 

1. Executive Directors shall assist the Secretary General.

2. Executive Directors shall be responsible for administration, finance, organizational management, and operational matters of the Secretariat.

3. WFPL may appoint up to three (3) Executive Directors.

4. Executive Directors may be assigned specific responsibilities according to their areas of expertise.

5. Executive Directors shall be appointed or commissioned by the President.

 

Article 28. Term of Office

 

1. The term of office of the President shall not be limited.

2. The terms of office of Senior Vice Presidents, Vice Presidents, Directors, Auditors, Secretary General, and Executive Directors shall be three (3) years.

3. Officers may be reappointed without limitation.

4. Any officer appointed to fill a vacancy shall serve the remainder of the predecessor’s term.

5. An officer shall continue to perform his or her duties until a successor has been appointed.

 

Article 29. Removal of Officers

 

1. The President may remove or dismiss any officer who:

(1) Seriously violates the Constitution, Bylaws, or regulations of WFPL;

(2) Causes substantial damage to the reputation of WFPL;

(3) Neglects official duties;

(4) Engages in conduct unbecoming of an officer;

(5) Is otherwise deemed unsuitable to continue serving.

 

2. Removal or dismissal shall become effective upon the decision of the President.

 

Article 30. Advisory Council

 

1. WFPL may establish an Advisory Council to strengthen organizational development and professional expertise.

2. Advisors shall be appointed or commissioned by the President from among distinguished individuals in politics, economics, society, culture, education, media, law, academia, and international relations.

3. Advisors shall provide advice regarding major policies and organizational operations.

 

Article 31. Advisory Committee

 

1. WFPL may establish an Advisory Committee to provide recommendations regarding its policies and programs.

2. Members of the Advisory Committee shall be appointed or commissioned by the President from among experts, scholars, journalists, business leaders, and social leaders.

3. The Advisory Committee shall perform advisory functions upon request of the President.

 

Article 32. Professional Committee

 

1. WFPL may establish Professional Committees to support activities in research, media, evaluation, ESG, education, international cooperation, and other professional fields.

2. Professional Committee Members shall be appointed or commissioned by the President from among qualified experts.

3. Professional Committees shall support the implementation of the objectives and activities of WFPL.

4. The establishment and operation of Professional Committees shall be governed by separate regulations.

 

 

 

CHAPTER 4. GENERAL ASSEMBLY

 

Article 33. Status of the General Assembly

 

1. The General Assembly shall be the supreme deliberative body of WFPL and shall deliberate and resolve major policies and development strategies of the Federation.

2. The General Assembly shall operate in accordance with the purposes, vision, and principles of WFPL.

3. The General Assembly shall discuss major organizational matters and provide recommendations for the future development of WFPL.

4. The General Assembly shall function under the principle of a President-centered organizational structure.

 

Article 34. Composition of the General Assembly

 

1. The General Assembly shall consist of:

(1) The President

(2) Senior Vice Presidents

(3) Vice Presidents

(4) Directors

(5) Auditors

(6) Secretary General

(7) Delegates

(8) Other persons approved by the President

 

2. Delegates may be appointed from national headquarters, regional headquarters, provincial federations, branches, affiliated institutions, and special organizations.

3. The appointment, term of office, and operation of delegates shall be prescribed separately.

 

Article 35. Types of General Assembly

 

1. The General Assembly shall consist of the Regular General Assembly and the Special General Assembly.

2. The Regular General Assembly shall be convened at least once each year.

3. A Special General Assembly may be convened whenever deemed necessary by the President.

4. The President may convene a Special General Assembly in response to urgent national or international matters.

 

Article 36. Convocation of the General Assembly

 

1. The General Assembly shall be convened by the President.

2. Notice of the date, venue, and agenda shall be given at least seven (7) days prior to the meeting.

3. In urgent circumstances, the notice period may be shortened or certain procedures may be waived.

4. Meetings may be conducted in person, by video conference, or through electronic means.

 

Article 37. Functions of the General Assembly

 

1. The General Assembly shall deliberate and resolve the following matters:

(1) Enactment and amendment of the Constitution and Bylaws

(2) Long-term vision and strategic direction of WFPL

(3) Major projects and operational plans

(4) Budget and financial reports

(5) Important organizational matters

(6) Matters submitted by the Board of Directors

(7) Matters submitted by the President

(8) Other significant matters relating to the operation of WFPL

 

2. The General Assembly may adopt declarations, recommendations, resolutions, and policy proposals.

3. Resolutions of the General Assembly shall become effective upon approval by the President.

4. The General Assembly shall function as a deliberative and advisory body, while the final authority of representation and execution shall remain vested in the President.

 

Article 38. Quorum and Voting

 

1. The General Assembly shall be validly constituted with the attendance of a majority of its members.

2. Resolutions shall be adopted by a majority vote of those present.

3. Amendments to the Constitution and Bylaws shall require the approval of at least two-thirds (2/3) of those present.

4. In the event of a tie vote, the Chairperson shall cast the deciding vote.

 

Article 39. Voting Rights

 

1. Each member of the General Assembly shall have one (1) vote.

2. Voting rights shall, in principle, be exercised personally.

3. Voting may also be exercised through written or electronic means when permitted.

4. Matters relating to proxy voting shall be prescribed separately.

 

Article 40. Chairperson

 

1. The President shall serve as Chairperson of the General Assembly.

2. In the absence of the President, a Senior Vice President shall act as Chairperson.

3. If both the President and Senior Vice Presidents are unable to serve, a Vice President designated by the President shall act as Chairperson.

4. The President may appoint a separate Chairperson for a specific agenda item or meeting.

 

Article 41. Minutes

 

1. Minutes shall be prepared for every meeting of the General Assembly.

 

2. The minutes shall include:

(1) Date and venue of the meeting

(2) Attendance records

(3) Agenda items

(4) Deliberations and discussions

(5) Resolutions adopted

(6) Other relevant matters

 

3. The minutes shall be verified by the Chairperson and the Secretary General.

4. The Secretariat shall maintain and preserve all minutes.

 

Article 42. Written Resolutions

 

1. The President may conduct written or electronic voting on urgent or minor matters.

2. Written resolutions shall have the same effect as resolutions adopted at a duly convened General Assembly.

3. The results of written resolutions shall be reported at the next meeting of the General Assembly.

 

 

CHAPTER 5. BOARD OF DIRECTORS

 

Article 43. Status of the Board of Directors

 

1. The Board of Directors shall serve as the principal deliberative body responsible for reviewing and resolving major operational matters of WFPL and supporting the President in organizational governance.

2. The Board shall deliberate matters relating to the implementation of resolutions adopted by the General Assembly and policies established by the President.

3. The Board shall contribute to the efficient operation and sustainable development of WFPL.

4. The Board shall function as a policy advisory and strategic support body to the President.

5. The Board shall not interfere with or restrict the representative authority and inherent powers vested in the President under this Constitution and Bylaws.

 

Article 44. Composition of the Board of Directors

 

1. The Board of Directors shall consist of the President and the Directors.

2. Senior Vice Presidents, Vice Presidents, Auditors, the Secretary General, and Executive Directors may attend Board meetings and express their opinions.

3. The President may invite heads of affiliated institutions, heads of special organizations, national directors, provincial federation presidents, advisors, experts, or other relevant persons to attend Board meetings.

4. Invited participants who are not Directors shall not have voting rights.

 

Article 45. Types of Board Meetings

 

1. Board meetings shall be classified as Regular Board Meetings and Special Board Meetings.

2. Regular Board Meetings shall be held at least twice each year.

3. Special Board Meetings may be convened whenever deemed necessary by the President.

4. The President may convene a Special Board Meeting upon the request of at least one-third (1/3) of the Directors.

 

Article 46. Convocation of Board Meetings

 

1. Board meetings shall be convened by the President.

2. Notice of the date, venue, and agenda shall be given at least seven (7) days prior to the meeting.

3. In urgent circumstances, the notice period may be shortened or procedural requirements may be waived.

4. Board meetings may be conducted in person, by video conference, or through electronic means.

 

Article 47. Functions of the Board of Directors

 

1. The Board of Directors shall deliberate and resolve the following matters:

(1) Business plans and project implementation

(2) Proposed budgets and financial statements

(3) Matters to be submitted to the General Assembly

(4) Organizational management and administration

(5) Membership policies and membership management

(6) Asset management and financial operations

(7) Operational regulations and internal rules

(8) Management of affiliated institutions and special organizations

(9) Operations of national headquarters, regional headquarters, provincial federations, branches, and chapters

(10) Award, recognition, evaluation, and certification programs

(11) Matters delegated by the General Assembly

(12) Matters submitted by the President

(13) Other important matters relating to the operation of WFPL

 

2. Resolutions of the Board of Directors shall become effective upon approval by the President.

3. The President may take emergency measures without prior Board deliberation when necessary and shall report such measures to the Board afterward.

4. The Board may deliberate matters concerning long-term development plans, international cooperation programs, major events, and significant policy initiatives of WFPL.

 

Article 48. Quorum and Voting

 

1. The Board of Directors shall be validly constituted with the attendance of a majority of the Directors.

2. Resolutions shall be adopted by a majority vote of the Directors present.

3. In the event of a tie vote, the Chairperson shall cast the deciding vote.

4. Participation through electronic means shall be deemed attendance.

 

Article 49. Voting Rights

 

1. Each Director shall have one (1) vote.

2. Voting rights shall, in principle, be exercised personally.

3. Voting may also be exercised through written or electronic means where permitted.

4. Matters concerning proxy voting shall be prescribed separately.

 

Article 50. Chairperson

 

1. The President shall serve as Chairperson of the Board of Directors.

2. In the absence of the President, a Senior Vice President shall serve as Acting Chairperson.

3. If both the President and Senior Vice Presidents are unable to serve, a Vice President designated by the President shall serve as Acting Chairperson.

4. The President may appoint a separate Chairperson for a specific meeting or agenda item when necessary.

 

Article 51. Written Resolutions

 

1. The President may conduct written or electronic resolutions on urgent or minor matters.

2. Written resolutions shall have the same legal effect as resolutions adopted at a duly convened Board meeting.

3. The results of written resolutions shall be reported at the next Board meeting.

 

Article 52. Minutes

 

1. Minutes shall be prepared for every Board meeting.

 

2. The minutes shall include:

(1) Date and venue of the meeting

(2) Attendance records

(3) Agenda items

(4) Deliberations and discussions

(5) Resolutions adopted

(6) Other relevant matters

 

3. The minutes shall be verified by the Chairperson and the Secretary General.

4. The Secretariat shall maintain and preserve all Board meeting records.

 

Article 53. Committees

 

1. The Board of Directors may establish committees necessary for the efficient operation of WFPL.

 

2. Committees may include:

(1) Standing Committees

(2) Special Committees

(3) Policy Committees

(4) Organizational Committees

(5) Evaluation Committees

(6) Ethics Committees

(7) Scholarship Committees

(8) Other Committees deemed necessary

 

3. The establishment, composition, and operation of committees shall be determined by the President.

4. Committee Chairpersons and members shall be appointed or commissioned by the President.

 

 

 

CHAPTER 6. SECRETARIAT AND ORGANIZATION

 

Article 54. Secretariat

 

1. WFPL shall establish a Secretariat to carry out its administrative and operational affairs.

2. The Secretariat shall perform administrative, financial, organizational, and program management functions under the direction and supervision of the President.

3. The Secretariat shall serve as the executive body responsible for implementing the objectives and activities of WFPL.

4. Detailed matters concerning the organization and operation of the Secretariat shall be determined by the President.

 

Article 55. Secretary General

 

1. The Secretary General shall direct and supervise the administrative and operational affairs of WFPL under the authority of the President.

2. The Secretary General shall manage the Secretariat and coordinate the activities of all departments and organizational units.

3. The Secretary General shall oversee project implementation, budget execution, organizational management, and external relations.

4. The Secretary General shall regularly report organizational affairs and activities to the President.

5. The Secretary General shall be appointed or commissioned by the President.

 

Article 56. Executive Directors

 

1. Executive Directors shall assist the Secretary General in carrying out administrative and operational duties.

2. Executive Directors shall be responsible for administration, finance, organizational management, project operations, and other assigned functions.

3. WFPL may appoint up to three (3) Executive Directors.

4. Executive Directors may be assigned responsibilities according to their respective fields of expertise.

5. Executive Directors shall be appointed or commissioned by the President.

 

Article 57. Secretariat Staff

 

1. WFPL may employ staff members necessary for the operation of the Secretariat and the implementation of its activities.

 

2. The Secretariat may include the following positions:

(1) Chief Administrative Officer

(2) Directors-General

(3) Directors

(4) Deputy Directors

(5) Team Leaders

(6) Researchers

(7) Professional Staff

(8) Administrative Staff

(9) Other positions deemed necessary

 

3. The appointment, employment, and management of staff shall be determined by the President.

4. Staff members shall comply with the Constitution, Bylaws, regulations, and policies of WFPL.

 

Article 58. National Headquarters

 

1. WFPL may establish National Headquarters in countries around the world to promote international cooperation and organizational development.

2. A National Headquarters shall serve as the official representative body of WFPL within the relevant country.

3. Each National Headquarters may have a National Director and such officers as may be necessary.

4. National Directors shall be appointed or commissioned by the President.

5. The establishment, merger, modification, and dissolution of National Headquarters shall be determined by the President.

 

Article 59. Regional Headquarters

 

1. WFPL may establish Regional Headquarters to enhance organizational efficiency and international cooperation.

2. Regional Headquarters may oversee multiple countries or designated geographical regions.

3. Regional Directors shall be appointed or commissioned by the President.

4. The establishment and operation of Regional Headquarters shall be determined by the President.

 

Article 60. Metropolitan and Provincial Federations

 

1. WFPL may establish Metropolitan and Provincial Federations throughout the Republic of Korea.

2. Such Federations shall be responsible for regional organizational management, membership development, and implementation of WFPL programs.

 

3. Each Federation may have:

(1) A President

(2) Senior Vice Presidents

(3) Vice Presidents

(4) A Secretary General

(5) Other officers as necessary

 

4. Provincial Federation Presidents shall be appointed or commissioned by the President of WFPL.

5. The establishment, merger, modification, and dissolution of Provincial Federations shall be determined by the President.

 

Article 61. Branches

 

1. WFPL may establish branches at city, county, district, or equivalent administrative levels.

2. Branches shall be responsible for local organizational management and program implementation.

3. Each Branch may have a Branch Director and such officers as may be necessary.

4. Branch Directors shall be appointed or commissioned by the President.

5. Matters concerning branch operations shall be prescribed separately.

 

Article 62. Local Chapters

 

1. WFPL may establish Local Chapters at township, community, neighborhood, or equivalent levels.

2. Local Chapters shall engage in membership activities and community service initiatives.

3. Each Local Chapter may have a Chapter President and such officers as may be necessary.

4. Chapter Presidents shall be appointed or commissioned by the President.

5. Matters concerning Local Chapter operations shall be prescribed separately.

 

Article 63. Divisions

 

1. WFPL may establish Divisions according to professions, sectors, fields of expertise, or organizational objectives.

2. Divisions shall carry out specialized activities and projects related to their respective fields.

 

3. Divisions may include:

(1) Youth Division

(2) Media Division

(3) Education Division

(4) ESG Division

(5) Business Division

(6) Women's Division

(7) International Cooperation Division

(8) Other Divisions necessary to achieve the objectives of WFPL

 

4. The establishment and operation of Divisions shall be determined by the President.

 

Article 64. Special Representative Offices

 

1. WFPL may establish Special Representative Offices for international cooperation, overseas operations, global events, and special projects.

2. Each Special Representative Office may have a Special Representative and such officers as may be necessary.

3. Special Representatives shall be appointed or commissioned by the President.

4. The establishment, merger, modification, and dissolution of Special Representative Offices shall be determined by the President.

 

Article 65. Organizational Authority

 

1. The President shall have authority to establish organizational units necessary for achieving the objectives of WFPL.

 

2. The President may establish, merge, modify, or dissolve:

(1) National Headquarters

(2) Regional Headquarters

(3) Metropolitan and Provincial Federations

(4) Branches

(5) Local Chapters

(6) Divisions

(7) Special Representative Offices

(8) Affiliated Institutions

(9) Special Organizations

(10) Committees

(11) Coalition Organizations

(12) Other organizational bodies

 

3. All organizational units of WFPL shall comply with the Constitution, Bylaws, regulations, and policies of WFPL.

4. Detailed operational matters concerning organizational units shall be determined by the President.

 

 

 

CHAPTER 7. AFFILIATED INSTITUTIONS AND SPECIAL ORGANIZATIONS

 

Article 66. Establishment of Affiliated Institutions and Special Organizations

 

1. WFPL may establish and operate affiliated institutions, special organizations, coalition organizations, and cooperative organizations for the effective implementation of its purposes and activities.

2. The establishment, integration, modification, and dissolution of affiliated institutions and special organizations shall be determined by the President.

3. Affiliated institutions and special organizations shall operate based on the principles of independence, professionalism, fairness, transparency, and public interest.

4. Affiliated institutions and special organizations may operate as non-profit organizations, unincorporated associations, incorporated entities, or other legal forms as appropriate.

5. Matters concerning the operation of affiliated institutions and special organizations shall be prescribed separately.

 

Article 67. Affiliated Research Institutions

 

1. WFPL may establish affiliated research institutions to conduct policy research, youth studies, ESG studies, consumer studies, reunification studies, and other specialized research activities.

 

2. Affiliated research institutions may include:

(1) International Youth Research Institute

(2) International Policy Research Institute

(3) International ESG Evaluation Institute

(4) International Consumer Evaluation Institute (ICEI)

(5) Institute for Reunification Policy Studies

(6) Other research institutions necessary to achieve the objectives of WFPL

 

3. The establishment and operation of affiliated research institutions shall be determined by the President.

 

Article 68. Affiliated Media Organizations

 

1. WFPL may establish affiliated media organizations to promote press freedom, media development, journalists’ rights, and responsible journalism.

 

2. Affiliated media organizations may include:

(1) World Press Association (WPA)

(2) National Federation of Press Organizations (NFPO)

(3) World Press Corps (WPC)

(4) World YouTube Press Corps (WYPC)

(5) Other media-related organizations and institutions

 

3. The World Press Association (WPA) may operate as an incorporated association or an independent legal entity.

4.  The National Federation of Press Organizations (NFPO) may operate as a coalition organization composed of press associations and media organizations.

5. The World Press Corps (WPC) and World YouTube Press Corps (WYPC) may operate as non-profit media organizations.

6. The establishment and operation of media organizations shall be determined by the President.

 

Article 69. Affiliated Evaluation Institutions

 

1. WFPL may establish affiliated evaluation institutions to promote public value, responsible management, ESG practices, and sustainable development.

2. Evaluation institutions may conduct evaluations, assessments, certifications, accreditation programs, and policy research for public institutions, state-owned enterprises, local public enterprises, corporations, organizations, and other entities.

 

3. Affiliated evaluation institutions may include:

(1) State Enterprise Commission (SEC)

(2) International ESG Evaluation Institute

(3) Other evaluation and certification institutions

 

4. Evaluation institutions may develop and operate their own evaluation systems, methodologies, and indicators.

5. Evaluation institutions may develop and administer the WF Sustainable Responsibility Index (WFSRI) and other evaluation frameworks.

6. Evaluation institutions may issue certificates, accreditation documents, awards, commendations, plaques, and related recognitions based on evaluation results.

 

Article 70. Special Organizations

 

1. WFPL may establish special organizations to carry out specific programs and initiatives.

 

2. Special organizations may include:

(1) School Violence Eradication Headquarters (SVEH)

(2) Assembly Legislative Evaluation Organizing Committee (AEC)

(3) Government Evaluation Committee (GEC)

(4) iDREAM Seokhak Scholarship Committee

(5) National NGO Monitoring Corps

(6) People's Movement Headquarters Against Privatization of Power (PMHAPP)

(7) Other special-purpose organizations

 

3. The establishment and operation of special organizations shall be determined by the President.

 

Article 71. Coalition Organizations

 

1. WFPL may establish domestic and international coalition organizations to promote cooperation, solidarity, and public participation.

 

2. Coalition organizations may include:

(1) Citizens’ Solidarity for Local Government Innovation (CSLGI)

(2) Fair Opportunity Practice Alliance Headquarters (FOPAH)

(3) National Federation of Press Organizations (NFPO)

(4) Other domestic and international coalition organizations

 

3. The establishment and operation of coalition organizations shall be determined by the President.

 

Article 72. Committees

 

1. WFPL may establish various committees to enhance professionalism and efficiency in carrying out its activities.

 

2. Committees may include:

(1) Standing Committees

(2) Special Committees

(3) Policy Committees

(4) Evaluation Committees

(5) Ethics Committees

(6) Organizational Committees

(7) Scholarship Committees

(8) Other committees deemed necessary

 

3.The establishment, composition, and operation of committees shall be determined by the President.

 

Article 73. Cooperative Organizations

 

1. WFPL may cooperate with governments, international organizations, public institutions, corporations, universities, research institutes, media organizations, non-governmental organizations, and other entities to achieve its objectives.

2. WFPL may participate in the establishment of separate legal entities or unincorporated organizations and may designate them as cooperative organizations.

3. The designation and termination of cooperative organizations shall be determined by the President.

 

Article 74. Appointment of Heads of Organizations

 

1. The heads of affiliated institutions, special organizations, coalition organizations, and committees shall be appointed or commissioned by the President.

2. The President may remove or dismiss the head of any organization when deemed necessary.

3. Terms of office and operational matters concerning heads of organizations shall be prescribed separately.

 

Article 75. Awards and Certification Programs

 

1. WFPL may conduct awards, recognition programs, evaluation programs, and certification programs to promote public value, responsible management, social development, and the dissemination of best practices.

2. Awards and certifications may be granted to public institutions, state-owned enterprises, local public enterprises, corporations, organizations, public officials, political leaders, journalists, educators, youth leaders, and other distinguished individuals.

 

3. WFPL may operate the following awards and certification programs:

(1) Korea Contribution Awards

(2) KOREA AWARDS

(3) Future Leaders Awards

(4) Republic of Korea SVE Special Awards

(5) Republic of Korea Model Leader Awards

(6) 100 Outstanding Members of the National Assembly to Be Remembered by the People

(7) WFPL Public Institution, State Enterprise, and Corporate ESG Evaluation Program

(8) Best Grade Institution Certification

(9) Excellent Institution Certification

(10) Responsible Management Certification

(11) ESG Excellence Certification

(12) Other awards and certification programs necessary to achieve the objectives of WFPL

 

4. Awards, evaluations, and certification programs may be administered through the World Press Association (WPA), the State Enterprise Commission (SEC), or other affiliated institutions and special organizations.

5. Detailed rules regarding categories, eligibility, evaluation standards, selection procedures, certification criteria, and presentation methods shall be prescribed separately.

 

Article 76. Operational Regulations

 

1. Matters necessary for the operation of affiliated institutions and special organizations shall be governed by separate regulations.

2. All affiliated institutions and special organizations shall comply with the Constitution, Bylaws, and regulations of WFPL.

3. Affiliated institutions and special organizations shall report their activities and operational status to the President or the Secretary General.

4. The President may establish operational guidelines to ensure the efficient management of affiliated institutions and special organizations.

 

 

 

CHAPTER 8. FINANCE AND ACCOUNTING

 

Article 77. Classification of Assets

 

1. The assets of WFPL shall be classified as Basic Assets and Ordinary Assets.

2. Basic Assets shall consist of assets designated by the President as essential for the establishment, maintenance, and long-term operation of WFPL.

3. Ordinary Assets shall consist of all assets other than Basic Assets.

4. The management and disposition of assets shall be governed by this Constitution and Bylaws and other applicable regulations.

 

Article 78. Management of Assets

 

1. All assets of WFPL shall be used exclusively for the fulfillment of its purposes and activities.

2. The acquisition, management, and disposition of assets shall be conducted in accordance with the principles of public interest, transparency, accountability, and efficiency.

3. The acquisition or disposition of significant assets shall be reviewed by the Board of Directors and approved by the President.

4. The President may take necessary measures to ensure the effective management and utilization of assets.

 

Article 79. Sources of Revenue

 

1. The financial resources of WFPL shall consist of:

(1) Membership fees

(2) Sponsorship contributions

(3) Donations

(4) Voluntary contributions

(5) Corporate sponsorships

(6) Grants from governments and public institutions

(7) Support from domestic and international organizations

(8) Research contracts and consulting fees

(9) Education and training program revenues

(10) Publication revenues

(11) Evaluation and certification program revenues

(12) Award program revenues

(13) International event and cooperation program revenues

(14) Scholarship program revenues

(15) Consulting service revenues

(16) Investment and asset management revenues

(17) Intellectual property and content revenues

(18) Other lawful revenues

 

2. WFPL may undertake fundraising activities and resource development initiatives necessary for carrying out its objectives.

 

Article 80. Revenue-Generating Activities

 

1. WFPL may conduct revenue-generating activities to secure financial resources necessary for the implementation of its objectives.

2. Such activities shall not conflict with the purposes and mission of WFPL.

3. All revenues generated shall be used exclusively for the objectives and programs of WFPL.

4. Detailed matters concerning revenue-generating activities shall be prescribed separately.

 

Article 81. Budget

 

1. WFPL shall prepare an annual business plan and budget prior to the beginning of each fiscal year.

2. The proposed budget shall be reviewed by the Board of Directors and approved by the President.

3. In urgent circumstances, the President may adjust the budget or utilize contingency funds.

4. Detailed matters concerning budget preparation and execution shall be prescribed separately.

 

Article 82. Financial Statements

 

1. WFPL shall prepare financial statements at the end of each fiscal year.

2. Financial statements shall be audited by the Auditors and submitted to the Board of Directors.

3. The President may present the financial statements to the General Assembly.

4. Detailed matters concerning financial reporting shall be prescribed separately.

 

Article 83. Fiscal Year

 

1. The fiscal year of WFPL shall commence on January 1 and end on December 31 of each year.

2. The President may establish additional accounting procedures when necessary.

 

Article 84. Accounting Principles

 

1. The accounts of WFPL shall be maintained in accordance with generally accepted accounting principles.

2. Accounting operations shall be conducted based on transparency, accuracy, accountability, and fairness.

3. All income and expenditures shall be supported by appropriate documentation.

4. Accounting records and supporting documents shall be maintained in accordance with applicable regulations.

 

Article 85. Financial Audit

 

1. Auditors shall have authority to examine the finances, accounting records, assets, and financial operations of WFPL.

2. Auditors may request documents, records, and relevant information as necessary.

3. Audit findings shall be reported to the President and the Board of Directors.

4. Auditors may recommend corrective measures and improvements where necessary.

 

Article 86. Management of Donations

 

1. WFPL shall manage donations, sponsorships, and contributions in a transparent and responsible manner.

2. Donations shall be utilized in accordance with the intent of the donor whenever applicable.

3. Donations designated for specific purposes shall be used primarily for those purposes.

4. Detailed matters concerning donation management shall be prescribed separately.

 

Article 87. Financial Disclosure

 

1. WFPL may disclose budgetary and financial information to promote transparency and accountability.

2. The scope and method of financial disclosure shall be determined by the President.

3. WFPL may provide relevant financial information to members, donors, sponsors, and stakeholders.

 

Article 88. Funds and Special Accounts

 

1. WFPL may establish and operate various funds to support its objectives and activities.

2. WFPL may establish special accounts for the efficient administration of specific projects and programs.

 

3. Such funds may include:

(1) Scholarship Fund

(2) Research Fund

(3) International Cooperation Fund

(4) ESG Development Fund

(5) School Violence Prevention Fund

(6) Media Development Fund

(7) Other funds necessary for achieving the objectives of WFPL

 

4. The establishment and management of funds and special accounts shall be determined by the President.

 

Article 89. Remaining Assets

 

1. In the event of the dissolution of WFPL, the disposition of remaining assets shall be determined by resolution of the General Assembly.

2. Remaining assets may be transferred to organizations or institutions with purposes similar to those of WFPL and dedicated to the public interest.

3. The final disposition of remaining assets shall be carried out by the President in accordance with the founding principles and public-interest mission of WFPL.

 

 

 

CHAPTER 9. SUPPLEMENTARY PROVISIONS

 

Article 90. Enactment and Amendment of the Constitution and Bylaws

 

1. This Constitution and Bylaws may be enacted or amended by resolution of the General Assembly.

 

2. Amendments may be proposed by:

(1) The President;

(2) The Board of Directors;

(3) At least one-third (1/3) of the members of the General Assembly.

 

3. Amendments shall require the approval of at least two-thirds (2/3) of the members present at the General Assembly.

4. Minor editorial revisions, organizational name changes, or administrative adjustments may be made by the President and subsequently reported to the General Assembly.

 

Article 91. Enactment of Regulations

 

1. Detailed matters necessary for the operation of WFPL may be prescribed through regulations, rules, operational guidelines, and implementation procedures.

2. The enactment, amendment, or repeal of such regulations shall be determined by the President.

3. The President may seek the advice of the Board of Directors, Advisory Committees, Professional Committees, or relevant experts when necessary.

4. Matters not specifically provided for in this Constitution and Bylaws may be governed by separate regulations.

 

Article 92. Interpretation

 

1. The authority to interpret this Constitution and Bylaws shall be vested in the President.

2. In the event of ambiguity or dispute concerning interpretation, the interpretation rendered by the President shall prevail.

3. The President may seek advice from the Board of Directors, Advisory Committees, Professional Committees, or legal experts.

4. Such interpretation shall remain effective until amended by the General Assembly.

 

Article 93. Electronic Meetings

 

1. Meetings of the General Assembly, Board of Directors, Committees, and other organizational bodies may be conducted through electronic means, including video conferencing and online platforms.

2. Participants attending electronically shall be deemed present in person.

3. Electronic voting and resolutions shall have the same force and effect as those adopted at physical meetings.

4. Detailed procedures for electronic meetings shall be prescribed separately.

 

Article 94. Written Resolutions

 

1.The President may authorize written or electronic resolutions for urgent or routine matters.

2.  Written resolutions shall have the same force and effect as resolutions adopted at a duly convened meeting.

3. The results of written resolutions shall be reported at the next meeting of the relevant body.

 

Article 95. Official Seals and Symbols

 

1. WFPL may use official seals, certification seals, evaluation seals, committee seals, and other official instruments necessary for its operations.

2. WFPL may adopt and use logos, emblems, corporate identity (CI), flags, badges, symbols, mascots, and other identifying marks.

3. The establishment, use, and management of official seals and symbols shall be determined by the President.

4. Electronic seals and electronic signatures shall have the same validity as physical seals and signatures.

 

Article 96. Records and Document Management

 

1. WFPL shall maintain and preserve official records and documents in an organized manner.

2. Documents may be maintained in physical or electronic form.

3. Minutes, resolutions, reports, research materials, evaluation records, award records, certification records, and other important documents may be permanently or long-term preserved.

4. Detailed matters regarding document management and retention shall be prescribed separately.

 

Article 97. Commendations and Appreciations

 

1. WFPL may confer commendations, certificates of appreciation, plaques, awards, and other forms of recognition upon individuals or organizations that contribute to the development of WFPL and society.

2. The categories, procedures, and criteria for commendations and recognitions shall be prescribed separately.

3. The President may confer special recognitions upon individuals or organizations with exceptional achievements.

 

Article 98. Dissolution

 

1. The dissolution of WFPL shall require a resolution of the General Assembly.

2. Dissolution shall require approval by at least two-thirds (2/3) of the members present at the General Assembly.

3. The disposition of remaining assets shall be governed by Article 89 of these Bylaws.

 

Article 99. Supplementary Application

 

1. Matters not expressly provided for in this Constitution and Bylaws shall be resolved in accordance with the founding principles, objectives, and best interests of WFPL.

2. Detailed operational matters shall be governed by applicable regulations, rules, guidelines, and procedures.

3. International customs and generally accepted principles governing non-profit organizations may be applied insofar as they do not conflict with this Constitution and Bylaws.

 

 

 

 

 

ADDENDA

 

Article 100. Effective Date

 

This Constitution and Bylaws shall take effect on the date of promulgation following approval by the Founding General Assembly or a duly convened General Assembly.

 

Article 101. Transitional Measures

 

Organizations, programs, regulations, resolutions, and actions established prior to the effective date of this Constitution and Bylaws shall be deemed valid under these Bylaws.

 

Officers and organizational bodies existing at the time these Bylaws take effect shall continue in office unless otherwise determined.

 

Article 102. Founder and President

 

The Founder of the World Federation of Power Leaders (WFPL) shall be Lee San-Ha (李山河).

Lee San-Ha shall serve as the Founder and President of WFPL and shall preserve and advance the founding philosophy, vision, and identity of the Federation.

 

The historical status and contributions of the Founder shall be permanently preserved in the official records of WFPL.

The authority and responsibilities of the President shall be governed by Article 21 of these Bylaws.

 

Article 103. Succession of Existing Organizations

 

The International Youth Research Institute (formerly the International Youth Research Center), established on January 11, 2007, and other predecessor organizations shall be recognized as part of the historical foundation of WFPL.

 

Existing affiliated institutions, special organizations, coalition organizations, and cooperative organizations may continue to operate under these Bylaws.

 

WFPL may succeed to the rights, obligations, assets, and activities of such organizations where appropriate.

 

Article 104. Succession of Existing Officers

 

Officers serving at the time these Bylaws take effect shall be deemed duly appointed under these Bylaws.

The terms of office of existing officers shall continue according to their original appointments unless otherwise determined.

The President may implement necessary transitional measures to ensure organizational continuity and stability.

 

Article 105. History of the Constitution and Bylaws

 

1. WFPL is an international non-profit organization that originated from the International Youth Research Institute (formerly the International Youth Research Center), established on January 11, 2007.

 

2. The history of enactment and amendments to the Constitution and Bylaws is as follows:

(1) January 11, 2007: Original Constitution and Bylaws Enacted

(2) March 16, 2016: First Amendment

(3) May 29, 2020: Second Amendment

(4) January 11, 2026: Third Amendment

 

3. WFPL shall preserve its founding philosophy and historical legacy while continuously developing its Constitution and Bylaws in response to changing social and international environments.

 

4. The constitutional history of WFPL shall be preserved as part of its official institutional records.
